Who we are

Minutes and Bylaws is an independent educational resource from the team behind Corp USA (corpusa.net). We focus on one thing: helping owners of small and closely held corporations understand their bylaws, meeting minutes, resolutions and corporate records.

Most founders form a corporation, file with the state and then wonder what comes next. Our guides and state pages explain the documents and habits that keep a corporation organized, without legal jargon.

What we cover

  • Corporate governance guides — bylaws, organizational and annual minutes, resolutions, stock records, corporate formalities and the corporate records book.
  • State pages — general notes on governing law, periodic filings, registered agents and required records in individual states.

Everything we publish is written for owners of small and closely held corporations who want to understand their records well enough to keep them in order and to have informed conversations with their attorney or accountant. We do not cover LLC operating agreements; our focus is corporations only.
